Thank you for using Flaskdata SaaS products for data collection and monitoring, website and application (all together: “services”). Flaskdata’s services are provided by Flask Data Ltd, located at Hamaayan 44, Modiin, Israel 7170810 (“Flaskdata”).

By using any of our services (as defined below) you consent to the following terms. Therefore, you should read them in full and with attention prior to using any of our services, and regularly look for any changes, amendments and updates of them (as shall be explained below). Please note that the terms below are made between you and Flaskdata only, and are not applicable to third parties (these terms neither create obligations nor grant rights to such third parties).

Before any use of our services you must also read and understand the Privacy Policy regarding that service, as any use of our services means you agree to the relevant Privacy Policy

  1. Right of using our services

As a user of our services, you must follow the relevant policies and instructions regarding our services. Visiting our website for whatever purpose shall be considered as a use of our services for the purposes of these Terms of Use. 

Our services include Flaskdata Web, desktop and mobile applications, Flask IdP, Flask API and the Flaskdata website (www.flaskdata.io). 

By using our services you declare that you will not abuse any of our services. You must only use our services “as is”, using our interfaces in a due manner and in the way we instruct you to. Your use of our services must only be as law and regulations allow you to. In case of a doubt, you should consult the relevant authority or a lawyer. Pay attention – in case you fail to abide by our terms or policies or in case we suspect any misconduct on your part regarding the use of our services – we may suspend your registration or stop providing our services to you, in part or in full, without any prior notice. In addition, we may file a complaint with the relevant authorities without a prior notice.                               

Our services, their software and their content are the intellectual property of Flaskdata only, and are protected by intellectual property laws and regulations. By using our services you acknowledge that you have no ownership of any intellectual property rights in our services, their software and their content, and that the mere use of our services, including our website, does not grant you such rights by any means. By using our services, you acknowledge that you must not use any of our logos, brand names, illustrations etc. as used and presented in our services, which belong in full to Flaskdata. Any such use must receive Flaskdata’s written permission in advance.  

It is made clear to you that your use of our services is at your own risk, and therefore you should take all the precautions needed. We strongly recommend that in case you are registered to our SaaS services, you make your best effort to protect your password and data at any given time, including the use of sufficient authentication and a strong password. Never share your password with anyone. In case you suspect that your data has been compromised, you must take immediate actions to protect it (for example, change of your password, etc.) and let us know of the occurrence.

It is made clear to you that if you are using any of our services on behalf of an entity (such as a business, company, corporation, foundation, etc., all together: “entity”), it means that this entity accepts all our rules and terms, and will be held responsible for any misuse of our services or violation of these terms by you, including any losses or damages caused to Falskdata by such misuse of our services on your part.

  1. Privacy Policy

FlaskData privacy policies (Flaskdata SaaS Privacy Policy and the Website privacy policy) explain what information we collect, how we use it, how we safeguard it and your rights regarding your data. You must read our privacy policies carefully prior to using our services. By using our services you agree to our privacy policies in full. As our privacy policies may change from time to time, as a result of internal or external motivations (change of regulations or law, for example) you should check our privacy policies regularly as published in all of our services. In order to avoid any misunderstandings, we recommend that in case of a doubt on your part you should consult the relevant authorities or a lawyer.  

  1. Your data and our services

Flaskdata’s secure cloud applications and SaaS services allow it to collect and monitor clinical trial data.  Flaslkdata’s website enables it to collect data of different types, such as contact details that you may leave us with. Please read the Flaskdata Privacy Policies carefully to get full information regarding your data and our services. 

  1. Software as a Service

Flaskdata products for clinical data collection and monitoring are provided in a software as a service model (SaaS) on the basis of an online subscription; accessible in a browser or mobile device or via a REST API.   

When you sign-up for a Flaskdata subscription, you receive a license to use the services provided to you by Flaskdata for the term of your subscription. This license is non-assignable and is granted by Flaskdata only for you so you can use our SaaS products as permitted by our terms. You are not allowed to resell, screen-scrape or repurpose our services (SaaS products, API, website etc.) and/or their contents in any manner. In case you wish to copy, modify, market, distribute, sell, rent, or lease any part of our services, contents or software, or engage with us in any business or commercial manner, you must obtain our prior written permission. You should also refrain from reverse engineering or attempting to decipher the source code of our services and software without prior written permission, as this may constitute a breach of our intellectual property rights.

  1. Changes and Termination of our Services

As we regularly change our services in order to give our users an improved and better service, therefore different functionalities, features and traits of our services might get suspended or stopped partially or totally, at any given time. Providing SaaS services, means that our systems, application and website might need maintenance, amendments and upgrades from time to time. Therefore, we reserve the right to shut down or suspend our services for certain periods of time for that matter. We will do our best to perform that kind of maintenance during the least use of our services. Unless we have to take an immediate action, we will make our best effort to notify about such shutdowns or suspensions reasonably in advance. In case of any discontinuation of a service, in part or in full, you shall be granted a notice in due time and the opportunity to get your data out of the service in advance (if you have any such data).

You may terminate your subscription by giving us a notice to [email protected], according to the terms and conditions you agreed to upon your registration to our services or leave a message on the Contact Us page of our website.             

  1. Disclaimer

The information presented on our website and other services is a general information source. It is not intended to provide visitors and users with any advice or recommendation to act in a certain way, nor does it pretend to be a scientific source of knowledge. If you are interested in any of our services you should contact us directly in order to receive a full explanation and information and a proposal regarding our services. Therefore, nothing presented in our services in general, and on our website in particular, shall oblige Flaskdata in any manner or create any kind of commitment on behalf of Flaskdata. Only written agreement shall oblige Flaskdata.  

We make our best effort to provide you with our services using a commercially acceptable and reasonable level of proficiency and skill. However, we only commit to the services explicitly showing on our terms “as is”, and we never promise to grant you anything beyond. Moreover, we do not commit that any feature, or capacity of our services will meet any of your specific needs or will bring about a specific result desired by you.

  1. Liability

To the extent permitted by law, Flaskdata (or any entity operating in cooperation with or on its behalf) will not be responsible for any damages or losses of any kind which might occur as a result of your use of our services. You are responsible in full to the manner in which you use our services, and you must take your own decisions and precautions regarding your use of our services and the way you protect your data and access to our services. 

In any case, Flaskdata (or any entity operating in cooperation with or on its behalf) will only be responsible for damages or losses which are reasonably foreseeable.   

  1. Changes, Corrections and Amendments

We reserve the right to modify these terms or add any additional terms regarding our services (for example, due to legal changes, Flaskdata’s internal considerations etc.). Some changes are of greater importance and some are of smaller importance. Therefore, we recommend that you constantly check our terms to see if there are any changes that might influence your use of our services.

Regarding changes in terms which are of greater importance – we will give our users notice of modifications to these terms on this page and on the relevant service. Changes shall only apply proactively and become effective no sooner than seven days after they are posted (excluding changes that need to be effective immediately, for example due to regulatory or legal changes or a system update, or small changes that will be updated at any given time without a prior notice). In case you disagree with any changes of our service terms, you should immediately discontinue your use of that service and no later than the date that change comes into effect. If you continue the use of the services after the change comes into effect, you will be held agreeing to that change.               

Flaskdata reserves the right to respond to any breach of the terms at any given time. If Flaskdata takes the time to respond to any breach of terms or misuse of its services, this shall never constitute giving up our right to take action in the near or far future at our own discretion.               

  1. Dispute Resolution

The laws of Israel will apply to any disputes arising out of or relating to these terms or using our services. All claims arising out of or relating to these terms or the services will be litigated exclusively in the courts of Tel Aviv, Israel, according to the Israeli law only, and the parties hereby consent to personal jurisdiction in the Israeli courts only. No claims regarding jurisdiction and venue of dispute resolution shall be heard.
